ND- North Dakota Impoundment of Funds Agreement Form S-9

The ND Impoundment of Funds Agreement Form S-9 shall be filed by the issuer when applying to sell certain securities in the state of North Dakota.  The issuer shall deposit money into an impound account to be held in escrow on behalf of each subscriber.  If the issuer is unable to sell the securities for a specific sum over a specific time period then the offering shall be terminated and the proceeds held in escrow shall be returned to the subscriber pursuant to the terms of the impoundment of funds agreement.
